These Terms of Service (these "Terms") constitute a legally binding agreement between you (the "Customer" or "you") and Cornerstone Strategy LLC ("Route X" or "we"), a New Jersey corporation, governing your access to and use of the Route X platform (including the website, web application, features, tools, integrations, and related services, collectively the "Service").
By creating an account or accessing or using the Service, you agree that you have read, understood, and will comply with these Terms and our Privacy Policy. If you do not agree, you may not access or use the Service.
We may update these Terms from time to time. Where required by law or where we deem appropriate, we will provide advance notice of material changes by email or through an in-Service notification. Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the changes.
1. Eligibility and Account Registration
1.1 Eligibility
To use the Service, you must be at least 18 years old and have the legal capacity to enter into a binding contract. The Service is not intended for individuals under 18.
1.2 Account Creation
You agree to provide accurate, complete, and current information at registration. Each account is intended for use by a single coach, customer, or authorized user; account sharing is prohibited.
1.3 Account Security
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately of any unauthorized access. We are not liable for losses resulting from unauthorized access or misuse.
2. License and Use of the Service
2.1 License Grant
Subject to your compliance with these Terms, Route X grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.
2.2 Restrictions
You agree not to:
- Modify, copy, or create derivative works of the Service
- Reverse engineer, decompile, or attempt to access source code
- Use automated scripts, bots, or scraping tools
- Access or use the Route X API in any manner that violates published documentation, rate limits, or usage restrictions
- Access the Service for competitive analysis or development of competing products
- Upload malware or harmful code
- Circumvent security or gain unauthorized access
- Share credentials with unauthorized third parties
- Use the Service in violation of applicable law
2.3 Acceptable Use Policy (AUP)
You may not use the Service to:
- Harass, defame, or harm others
- Upload illegal, infringing, or objectionable content
- Collect or upload information about minors without appropriate authorization
- Engage in fraudulent, illegal, or harmful activities
- Mine or collect data by means other than approved APIs
- Conduct penetration testing or vulnerability analysis
- Use AI-generated output to manipulate or deceive others
Violations may result in suspension or termination.
3. Service Access, Availability, and Support
3.1 Availability
We strive to provide a stable service but do not guarantee uninterrupted uptime. Access may be temporarily unavailable due to maintenance, outages, or external factors.
3.2 Modifications
We may modify or discontinue the Service or any part thereof at any time.
3.3 Support
Support is provided by email during business hours as published by us. Absent a separate written agreement, Route X does not guarantee response times.
3.4 Data Backup and Recovery
We maintain commercially reasonable backups but do not guarantee restoration of lost data. Regular export and backup of your own data is your responsibility.
4. Plans, Fees, Billing, and Payment Terms
Your subscription term begins on the date you first purchase a paid plan and continues for the selected billing period (monthly or annual) unless terminated earlier under these Terms.
4.1 Plan Structure
Route X offers two product lines — Individual Coach Plans and Coaching Firm Plans — each with multiple subscription tiers (collectively, 'Plans'). The current plan structure is as follows:
(a) Individual Coach Plans:
- Starter — Free. For coaches just starting out. Up to 3 clients, limited features (Coach-Only Mode, session & note management, Map It! goal framework). Excludes Collaborative Mode, Outlook/Google/Zoom integrations, AI session summaries.
- Professional — Paid. The standard plan for professional coaches. Includes all Starter features plus unlimited clients, Coach-Only and Collaborative Mode, Outlook/Google/Zoom integrations, AI session summaries (20/month), Map It! goal framework (full). Standard price $39/month; Founding Price $29/month in year one (see Section 4.6).
(b) Coaching Firm Plans:
- Team — Paid. Entry plan for coaching firms. Up to 5 coach seats (including admin), unlimited clients (pooled), all Professional features for each coach, Coach-Only and Collaborative Mode, Outlook/Google/Zoom integrations, AI session summaries (when available), email support and one onboarding session. Standard price $199/month; Founding Price $79/month in year one (see Section 4.6).
- Business — Paid (Coming Soon). All Team features plus case management/corporate client hierarchy, coach management (employees and contractors), quality control (supervisor permissions), advanced firm dashboard, audit logs & analytics, corporate client reporting, API (read) access. Up to 15 coach seats, unlimited clients. Planned price $399/month.
- Enterprise — Paid. Custom contract plan for large firms and security-conscious organizations. All Business features plus SSO/SAML integration, custom roles & extended audit logs, white-label/custom branding, dedicated customer success, custom SLA & data residency options, Japan HR integrations, full API access. Unlimited coaches. Custom pricing ($699+/month).
Features, pricing, usage limits, and specifications for each Plan are as posted within the Service and may be updated from time to time. The current pricing, plan names, seat counts, and features for Individual Coach and Coaching Firm plans are as posted on the Route X website and form part of these Terms. In the event of any conflict between the description in this Section 4.1 and the pricing page posted within the Service, the pricing page within the Service shall prevail.
All prices are displayed in USD. Customers in Japan also pay in USD through our payment processor (e.g., Stripe). Client users (users invited to the Service by a coach user) may use the Service continuously at no charge.
4.2 Starter Plan (Free)
The Starter Plan (Individual Coach product line) is intended for personal use and has limited features. This Plan is provided without any warranty, service level guarantee, data retention guarantee, or support obligation. Route X may modify, restrict, or discontinue the Starter Plan at any time without liability.
4.3 Free Trial of Paid Plans
New users may be eligible for a free trial of a higher paid plan for the period displayed for each plan within the Service. Current free trial periods are:
- Individual Coach Plans (Professional): 14-day free trial.
- Coaching Firm Plans (Team, Business): 14-day free trial across all markets.
- Enterprise：Where a free trial is offered, it will be separately agreed in the applicable Order Form.
Where payment information is required, billing will begin automatically at the end of the free trial period (unless cancelled beforehand).
Where no payment information is required, after the free trial ends, the account (for users on the Individual Coach product line) will revert to the Starter Plan.
Free trials are available once per customer unless approved by Route X.
4.4 Paid Plans (Professional, Team, Business, Enterprise)
Paid plans require valid payment information and are billed monthly in advance unless annual billing is selected (Section 4.5) or an Order Form provides otherwise.
Paid plans differ in available features, seat count, storage, client limits, integrations, analytics, automation, reporting, AI features, and support level. All payments are non-refundable except as required by law.
4.5 Annual Billing and Discounts
Customers on paid plans may have the option to pay on an annual basis ("Annual Billing"). Annual Billing may be offered at a discounted rate compared to monthly billing. Such discounts are promotional in nature and may be revised, changed, or discontinued by Route X at its sole discretion at any time.
Customers choosing Annual Billing will be billed the full annual amount upfront and such payment is non-refundable except as required by law or as expressly stated otherwise. Changes to annual pricing or applicable discounts take effect at the start of the next renewal period, with reasonable advance notice from Route X.
4.6 Founding Price (Launch Special Pricing)
Route X may offer promotional pricing ('Founding Price') with limited spots from time to time, including at launch. Current Founding Price terms:
- Professional Plan (Individual Coach): $29/month, available to the first 100 paid coaches only. Standard price after Founding Price period: $39/month.
- Team Plan (Coaching Firm): $79/month, available to the first 5 paid firms only. Standard price after Founding Price period: $199/month.
The Founding Price applies only to eligible customers for the first year (12 months from the date the Founding Price is first applied). From year two onwards, the subscription will automatically renew at the then-current standard price for the applicable plan as set by Route X.
Route X is not obligated to offer the Founding Price again to customers who have cancelled, terminated, downgraded, or let expire their Founding Price subscription. Route X may revise, change, or discontinue Founding Price offerings at its sole discretion at any time.
4.7 Enterprise Plan
The Enterprise Plan (Coaching Firm product line) may include customized features, priority support, advanced compliance options (including SSO/SAML integration, custom roles, extended audit logs, white-label/custom branding, custom SLA, data residency options), Japan HR integrations, full API access, and expanded usage rights. The Enterprise Plan is subject to a separate agreement or Order Form that supersedes conflicting provisions of these Terms.
4.8 Upgrades and Downgrades
- Upgrades take effect immediately and fees are prorated.
- Downgrades take effect at the start of the next billing cycle.
- Downgrades may restrict access to certain features or data.
4.9 Taxes
Fees do not include taxes. You are responsible for all applicable taxes, duties, and government charges.
4.10 Pricing Changes
We may change pricing or plan features with at least 30 days' notice. Continued use after the effective date constitutes acceptance of the change.
4.11 Non-Payment
Failure to pay may result in suspension of access. If unresolved for 30 days, your account may be terminated and data may be deleted.
5. Cancellation and Termination
5.1 Customer Cancellation
You may cancel through the dashboard. We do not accept cancellations by email or phone.
5.2 Effect of Cancellation
Cancellations take effect immediately and future billing ceases. Unless otherwise required by law, data is retained for 90 days before deletion. Starter Plan users acknowledge that their accounts may be suspended or terminated at any time for any reason, including inactivity.
5.3 Termination by Route X
We may suspend or terminate your access for violations of these Terms, non-payment, security risks, or fraudulent activity.
6. Data Protection, Privacy, Confidentiality
6.1 Confidentiality
Both parties agree to protect the other's confidential information with reasonable care.
6.2 Personal Data Processing
We process personal data in accordance with applicable law and our Privacy Policy. You represent that you have lawful authority to submit any personal data.
6.3 Data Location and Transfer
Data may be stored and processed in the United States or Japan. Cross-border transfers may occur to the extent necessary to provide the Service.
6.4 Health Information (PHI)
PHI (Protected Health Information) may not be uploaded unless a Business Associate Agreement (BAA) has been executed. Without a BAA, uploading PHI is strictly prohibited.
7. Third-Party Services and Integrations
The Service may integrate with third-party applications ("Third-Party Services") including but not limited to Outlook Calendar, Google Calendar, Google Meet, and Zoom. Integrations may be added or removed at Route X's discretion.
Users acknowledge that:
- Third-Party Services are subject to their own terms of service and privacy policies.
- Route X is not responsible for the availability, performance, or changes of Third-Party Services.
- You authorize Route X to access and exchange data with Third-Party Services as necessary.
- Route X is not liable for outages, data loss, or service failures attributable to Third-Party Services.
- Integrations may be modified or terminated without liability.
- You are responsible for maintaining valid accounts with Third-Party Services.
- Revoking access may affect functionality.
8. AI and Machine Learning Features
Where AI-powered features are available, please note:
- Output may be inaccurate or incomplete.
- You are responsible for verifying output before relying on it.
- Route X makes no warranties regarding AI-generated content.
- Your data is not used for model training unless you have explicitly opted in.
- Your customer data will not be used for model training without your explicit consent.
9. Intellectual Property Rights
9.1 Ownership
All rights, title, and interest in and to the Service and related intellectual property are owned by Route X.
9.2 Customer Content
You retain ownership of content you submit through the Service. You grant Route X a limited license to use such content solely to provide and improve the Service.
9.3 Feedback
You grant Route X a perpetual, royalty-free license to use suggestions, ideas, and feedback you provide.
10. Beta Features
Beta or early-access features are:
- Provided 'as is'.
- May contain bugs.
- Not subject to SLA or warranties.
- May be changed or discontinued at any time.
11. Disclaimers
The Service is provided 'as is' and 'as available.' We disclaim all warranties, including merchantability, fitness for a particular purpose, and non-infringement. For Starter Plan users, the Service is provided without any warranty of support, uptime, or data retention.
12. Limitation of Liability
To the maximum extent permitted by applicable law:
- Route X's liability is capped at the fees you paid in the preceding 12 months.
- Route X is not liable for indirect, incidental, special, punitive, or consequential damages.
- Route X is not liable for data loss, business interruption, or matters attributable to Third-Party Services.
For Starter Plan users, Route X has no obligation to maintain or restore data, and liability is further limited.
13. Indemnification
13.1 By Customer
You agree to indemnify Route X against claims arising from your violation of these Terms, misuse of the Service, or violation of applicable law.
13.2 By Route X
Route X will defend you against claims of intellectual property infringement arising from authorized use of the Service. Our liability is limited to modifying the Service, providing an alternative, or issuing a prorated refund.
14. Export Compliance
You may not use the Service in violation of U.S. export control laws or sanctions.
15. Force Majeure
Route X is not liable for delays or failures caused by natural disasters, power outages, government actions, or other events beyond our reasonable control.
16. Governing Law, Arbitration, and Dispute Resolution
16.1 Governing Law
These Terms are governed by U.S. federal law and the laws of the State of New Jersey.
16.2 Binding Arbitration
All disputes shall be resolved by binding arbitration in New Jersey under the AAA Commercial Arbitration Rules.
16.3 Class Action Waiver
Claims must be brought individually. Class actions are waived.
16.4 Jury Trial Waiver
You waive your right to a jury trial.
17. General Terms
- Assignment: You may not assign any part of these Terms to a third party or affiliate without our prior written consent.
- Severability: Invalid provisions do not affect the remainder.
- No Waiver: Failure to exercise a right is not a waiver of that right.
- Entire Agreement: These Terms and the Privacy Policy constitute the entire agreement.
- Notices: Notices may be given by email or dashboard message.
- Governing Language: These Terms are written in English, which prevails over any translation.
- Survival: Provisions regarding confidentiality, indemnification, and liability survive termination.
