These Terms of Service ("Terms") form a binding contract between you ("Customer", "you", or "your") and Cornerstone Strategy LLC, a New Jersey, USA company ("Route X", "we", "us", or "our"). These Terms govern your access to and use of the Route X platform, including the website located at ("website"), web applications, features, tools, integrations, and related services (collectively, the "Service" or "Services").
By creating an account, accessing, or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not access or use the Services.
We may update these Terms at any time. Where required or appropriate, we will provide notice of material revisions via email or within the Service. Continued use of the Services after effective date of updated Terms constitutes acceptance.
You must be at least 18 years of age and capable of entering into legally binding agreements to use the Services. The Services are not intended for individuals under the age of 18.
You must provide accurate, complete, and current information when registering. Each account is intended for a single coach, customer, or authorized user. Account sharing is prohibited.
You are responsible for maintaining the confidentiality of your login credentials and all activities under your account. Notify us immediately of any unauthorized access. We are not liable for losses resulting from unauthorized access or misuse.
Subject to compliance with these Terms, Route X grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes.

Violation may result in suspension or termination.
We strive to provide reliable service but do not guarantee uninterrupted uptime. Maintenance, outage, or external factors may temporarily suspend access.
We may modify or discontinue the Services or any portion thereof at any time.
Support is provided by email during published business hours. Route X does not guarantee response times unless otherwise agreed in writing.
We maintain commercially reasonable backups but do not guarantee restoration of lost data. You are responsible for regularly exporting and backing up your own data.
Your Subscription Term begins on the date you first purchase a Paid Plan and continues for the duration of the billing period selected (monthly or annual), unless terminated earlier under these Terms.
Route X offers multiple subscription tiers ("Plans"), which currently include:
Plan features, pricing, limits, and specifications are listed within the Service and may be updated from time to time.
The Starter Plan is intended for personal use and includes limited features. It is provided without warranties, service-level guarantees, data retention guarantees, or support obligations. Route X may modify, restrict, or discontinue the Starter Plan at any time without liability.
New users may be eligible for a 30-day Free Trial of an upgraded Paid Plan.
Paid Plans require valid payment information and are billed monthly in advance.
Paid Plans differ in available features, storage capacity, client limits, integrations, analytics, automation, reporting capabilities, AI functionalities, and support level. All payments are non-refundable except where required by law.
Customers subscribing to a Paid Plan may have the option to pay annually ("Annual Billing"). Annual Billing may include discounted pricing compared to monthly billing. Any such discount is promotional in nature and may be revised, modified, or discontinued by Route X at any time, at Route X's sole discretion.
If you elect Annual Billing, the full annual fee is charged upfront and is non-refundable, except where required by law or explicitly stated otherwise. Any change to annual pricing or applicable discounts will take effect at the start of the next renewal term, and Route X will provide reasonable notice in advance.
Enterprise Plans may include tailored features, priority support, advanced compliance options, and extended usage rights. Enterprise Plans are subject to separate contracts or order forms that supersede conflicting provisions in these Terms.
Fees exclude taxes. You are responsible for all applicable taxes, duties, and governmental charges.
We may modify pricing or Plan features with at least 30 days' notice. Continued use of the Services after the effective date constitutes acceptance.
If payment is not received, access may be suspended. If unresolved for 30 days, your account may be terminated and data deleted.
You may cancel through the dashboard. Cancellations via email or phone are not accepted.
Cancellation is immediate and stops future billing. Data will be retained for 90 days before deletion unless legally required otherwise. Starter Plan users acknowledge that their account may be suspended or terminated at any time, including for inactivity.
We may suspend or terminate your access for violations of these Terms, non-payment, security risks, or fraudulent activities.
Both parties agree to protect each other's confidential information with reasonable care.
We process Personal Data in accordance with applicable laws and our Privacy Policy. You represent that you have lawful authority to submit personal data.
Data may be stored or processed in the United States or Japan. Cross-border transfers may occur as necessary for service delivery.
PHI may not be uploaded unless a Business Associate Agreement (BAA) is executed. Without a BAA, uploading PHI is strictly prohibited.
The Services may integrate with third-party applications including, but not limited to, Outlook Calendar, Google Calendar, Google Meet, and Zoom ("Third-Party Services"). Additional integrations may be added or removed at Route X's discretion.

Route X retains all rights, title, and interest in the Services and associated intellectual property.
You retain ownership of content submitted through the Services. You grant Route X a limited license to use content solely to provide and improve the Services.
You grant Route X a perpetual, royalty-free license to use suggestions, ideas, and feedback you provide.
Beta or early-access features:
The Services are provided "as is" and "as available." We disclaim all warranties, including merchantability, fitness for a particular purpose, and non-infringement. For Starter Plan users, the Services are provided without support guarantees, uptime commitments, or data retention commitments.
To the fullest extent permitted by law:
For Starter Plan users, Route X has no obligation to maintain or restore data, and liability is further limited.
You agree to indemnify Route X for claims arising from your breach of these Terms, misuse of the Services, or violation of law.
Route X will defend you against claims alleging intellectual property infringement arising from authorized use of the Services. Our responsibility is limited to modifying the Services, replacing them, or issuing prorated refunds.
You may not use the Services in violation of U.S. export control laws or sanctions.
Route X is not liable for delays or failures caused by events beyond reasonable control, including natural disasters, outages, or government action.
These Terms are governed by U.S. federal law and New Jersey state law.
All disputes will be resolved by binding arbitration in New Jersey under AAA Commercial Arbitration Rules.
Claims must be brought individually. Class actions are waived.
You waive the right to a jury trial.
